TORONTO, Aug. 28, 2026 /CNW/ -- Birch Hill Equity Partners Management Inc. ("Birch Hill"), the general partner of Birch Hill Equity Partners VI, LP, Birch Hill Equity Partners (Global) VI, LP and Birch Hill Equity Partners (Entrepreneurs) VI, LP (collectively, the "Birch Hill Funds"), announced that the Birch Hill Funds acquired ownership and control over 7,412,575 common shares ("Common Shares") of Pason Systems Inc. (the "Issuer") pursuant to a block trade on August 27, 2026 through the facilities of Cboe Canada at a price of $14.00 per Common Share representing an aggregate purchase price of $103,776,050.00 (the "Acquisition").

Immediately prior to the Acquisition, the Birch Hill Funds beneficially owned 7,072,700 Common Shares representing approximately 9.11% of the outstanding Common Shares. Upon completion of the Acquisition, the Birch Hill Funds beneficially own 14,485,275 Common Shares representing approximately 18.66% of the outstanding Common Shares. The foregoing figures are based on 77,640,286 Common Shares outstanding as of August 11, 2026, as reported in the Issuer's management's discussion and analysis for the three and six months ended June 30, 2026.

The Birch Hill Funds acquired the Common Shares for investment purposes. Birch Hill intends to review its investment in the Issuer on a continuing basis and depending upon various factors, the Birch Hill Funds and/or Birch Hill may change their beneficial ownership of, or economic exposure to, the Common Shares.
