Nelson Peltz's Group Proposes $7.35 a Share for a Burger Chain the Same Week He Joins a Hockey Company's Board
PR Newswire
NEW YORK, Oct. 28, 2026
NEW YORK, Oct. 28, 2026 /PRNewswire/ -- Stock Preachers News Commentary - Nelson Peltz, the Chief Executive Officer and a founding partner of Trian Fund Management, L.P., appeared in two sets of corporate filings in the span of three days this week. On Monday he became a director of a newly listed New York hockey company, and on Wednesday a group that includes investment funds managed by Trian submitted a non-binding cash proposal to acquire the burger chain where Peltz has been Chairman Emeritus since September 2024. Taken together with Trian's latest disclosed holdings and Peltz's seat on a global consumer goods board, the filings show where he and his firm are active right now. Active Companies from around the markets with current developments this week include: General Electric Company (NYSE: GE), MSG Rangers Corp. (NYSE: MSGR), The Wendy's Company (NASDAQ: WEN), Unilever PLC (NYSE: UL).
Trian's most recent Form 13F, filed August 12, 2026 for the period ended June 30, 2026, reported a combined value of $4,230,905,202 across eight issuers. The largest position by value was GE Aerospace, followed by Janus Henderson Group, Solventum Corporation, Ferguson and The Wendy's Company, with smaller stakes in GE HealthCare Technologies, Invesco and The Magnum Ice Cream Company. Trian's third-quarter report is not yet due, so those figures remain the latest available.
One of those positions has already changed form. On June 30, 2026, Janus Henderson announced the completion of its take-private transaction with Trian, General Catalyst and QIA, under which shares not already owned or controlled by Trian were converted into a right to receive $52.00 per share in cash, and its ordinary shares were delisted from the New York Stock Exchange. Wednesday's letter to the Wendy's board refers to that deal, describing Janus Henderson as acquired by Trian and its co-investors for approximately $8 billion.
Peltz's board seats have also shifted over time. An October 9, 2026 SEC filing lists past directorships at The Procter & Gamble Company from March 2018 to October 2021, Sysco Corporation from 2015 to 2021, Invesco Ltd. from November 2020 to February 2022 and Janus Henderson Group plc from February to November 2022. At The Walt Disney Company's April 2024 annual meeting, Peltz was not among the twelve directors elected, according to Disney's certified results.

On October 23, the companies also entered into a Transfer Consent Agreement under which future transfers of ownership or location of the Rangers, subject to exceptions, will require the consent of the National Hockey League.
"Both teams have storied histories and large and passionate fan bases, and we believe each company will be well-positioned to generate long-term value for shareholders," said James L. Dolan, Executive Chairman and Chief Executive Officer, when the spin-off was approved on September 30.
The Wendy's Company (NASDAQ: WEN)
On October 28, 2026, investment funds managed by Trian and related parties, together with Flynn Group LP, BlueFive Capital and Sixth Street Partners, submitted a non-binding proposal to acquire all Wendy's shares they do not already own for $7.35 per share in cash, which the letter describes as an approximate 20% premium to the October 27 close. Wendy's closed at $6.14 that day, according to Stock Analysis data. The Trian filing persons beneficially owned approximately 16.25% of the common stock as of October 27, according to the amended Schedule 13D. The letter states that the proposal would not require any new debt, and that the group expects a special committee of independent, disinterested directors to consider it.
"We believe private ownership is the better path and provides the patient, long-duration capital needed to restore the business and the franchise system to a position of strength," wrote Nelson Peltz, Chief Executive Officer & Founding Partner of Trian Fund Management, L.P., and Greg Flynn, Chairman & Chief Executive Officer of Flynn Group LP, in the proposal letter.

The third-quarter dividend of €0.4664 is up 3.0% from the third quarter of 2025.
"We are performing while transforming Unilever. We are becoming simpler and sharper, with greater focus and stronger execution as we drive Desire at Scale across our brands," said Fernando Fernandez, Chief Executive Officer of Unilever.
